1. Introduction and Acceptance

These Terms of Service (“Terms”) govern your access to and use of the website www.worldvuer.com (the “Website”) and related public pages operated by WorldVuer Inc. (“WorldVuer,” “we,” “us,” or “our”), a company within the Side Equity Ventures group.
WorldVuer provides visual communications, interactive media, software platforms (including WiOS), hardware products, and related enterprise and consumer solutions. These Terms apply to the public Website. Separate written agreements, licenses, or statements of work will govern purchased products, enterprise platforms, government deployments, and partner arrangements
By accessing or using the Website, you agree to be bound by these Terms. If you do not agree, you must not use the Website. These Terms should be read together with our Privacy Policy at www.worldvuer.com (or such other URL as we may designate).

2. Eligibility

The Website is intended for users who are at least 18 years of age (or the age of legal majority in their jurisdiction). Any purchase, license, subscription, pilot, or enterprise deployment is subject to a separate written agreement. Nothing on the Website creates a partnership, joint venture, agency, or distribution relationship unless expressly agreed in writing.

WorldVuer, WiOS, and related marks, product names, and logos displayed on the Website are trademarks or service marks of WorldVuer or their respective owners. Nothing in these Terms grants you any right to use any of these marks without prior written consent.

6. User Submissions and Communications

If you submit inquiries, product or partnership requests, feedback, or other materials through the Website (“Submissions”), you grant WorldVuer a non-exclusive, worldwide, royalty-free, perpetual license to use, reproduce, modify, adapt, publish, and display such Submissions for the purpose of responding to you, evaluating your request, improving our services, and operating our business, subject to our Privacy Policy.
You represent and warrant that your Submissions do not infringe any third-party rights and do not contain any unlawful, defamatory, confidential third-party, or otherwise objectionable material. Do not send confidential business information through unsecured Website forms unless we have invited you to do so under a separate confidentiality arrangement.

Our total aggregate liability arising out of or relating to these Terms or the public Website shall not exceed one hundred United States Dollars (USD 100) or the equivalent in local currency. Separate product and enterprise agreements may contain different liability terms.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

You agree to indemnify, defend, and hold harmless WorldVuer Inc., its affiliates, and their respective officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your use of the Website; (b) your violation of these Terms; (c) your violation of any third-party right, including any intellectual property or privacy right; or (d) any Submissions you provide.

12. Termination

We may, in our sole discretion, suspend or terminate your access to the Website at any time, with or without notice, for any reason, including if we believe you have violated these Terms. Upon termination, your right to use the Website will immediately cease. Provisions that by their nature should survive termination shall survive, including intellectual property, disclaimers, limitation of liability, and indemnification.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States of America, without regard to its conflict of law principles, except that if you access the Website primarily from the United Arab Emirates, the substantive laws of the United Arab Emirates may apply to the extent required by mandatory local law.
Any dispute arising out of or in connection with these Terms or the Website shall first be attempted to be resolved through good-faith negotiations. If the dispute cannot be resolved amicably within thirty (30) days, it shall be submitted to the exclusive jurisdiction of the state or federal courts located in Los Angeles County, California, unless mandatory law requires otherwise.
Notwithstanding the foregoing, we reserve the right to seek injunctive or other equitable relief in any jurisdiction to protect our intellectual property or other rights.

14. Changes to These Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. Material changes will be indicated by updating the “Last Updated” date at the top of this page. Your continued use of the Website after any such changes constitutes your acceptance of the new Terms. If you do not agree to the revised Terms, you must stop using the Website.

15. General Provisions

Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
Waiver: No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term.
Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and WorldVuer regarding your use of the public Website and supersede any prior agreements relating to that use.
Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
Force majeure: We are not liable for any failure or delay caused by events beyond our reasonable control.
